S-Bank has carried out a directed share issue of EUR 400 million

 S-Bank Plc (“S-Bank”) announced on 9 July 2026 a voluntary recommended public cash tender offer for all the issued and outstanding shares in Oma Savings Bank Plc (“Oma Savings Bank”) that are not held by Oma Savings Bank or its subsidiaries (the “Tender Offer”). The offer period under the Tender Offer commenced on 17 July 2026 at 9:30 a.m. (Finnish time) and expired on 25 September 2026 at 4:00 p.m. (Finnish time). S-Bank has decided to strengthen its own capital by carrying out a directed share issue of up to EUR 400 million to ensure that S-Bank’s capitalisation remains strong also after the tender offer has been completed.

In connection with the Tender Offer, the shareholders of S-Bank have today unanimously resolved to authorise the Board of Directors to decide on the directed issue of up to 3,463,203 new shares. Based on the authorisation, the Board of Directors of S-Bank has decided on the directed issue of a total of 3,463,203 new shares to the owners of S-Bank, i.e. SOK and cooperatives that are part of S-Group. The subscription price of the shares is EUR 115.50 per share, and it is based on the net value of S-Bank on 31 March 2026. The share issue is carried out to ensure that S-Bank’s capitalisation remains strong, which constitutes a serious financial reason for the directed share issue.

The share subscription price has been paid and the Board of Directors has today approved the share subscriptions received from the owners. The aggregated subscription price of the shares, EUR 399,999,946.50, will be entered in S-Bank’s reserve for invested non-restricted equity in its entirety.

The new shares will be notified for registration in the trade register as soon as possible. After the registration of the new shares, the total number of shares of S-Bank will be 12,586,877 shares. The total number of new shares corresponds to approximately 38 percent of S-Bank’s current number of shares.
